Terms and Conditions

These Terms and Conditions ("Terms") govern the sale of products by SKL Products Pvt. Ltd. (The Eventified) ("we," "us," or "our") to you as a customer. By placing an order with us, you agree to be bound by these Terms. Please read them carefully before placing an order.
1. Definitions
- Company: Refers to SKL Products Pvt. Ltd., the seller of event products.
- Customer: Refers to the entity placing an order for products from the Company.
- Products: Refers to all items offered for sale by the Company, including but not limited to flowers, carpets, decor, shaped fabrics, and other event-related items.
- Order: A request by the Customer to purchase Products from the Company.
- Catalog: The compilation of Products offered by the Company.
2. Ordering Process
2.1. Catalog Access: Our Product catalog is primarily shared with you via our WhatsApp, on our website or via email. 2.2. Placing an Order: Orders can be placed by communicating your requirements directly through our Whatsapp or other agreed-upon communication channels. 2.3. Quotation: Upon receiving your Order, we will provide a detailed Quotation, which will include the list of Products, quantities, pricing, delivery/collection details, and payment terms. 2.4. Order Acceptance: An Order is considered accepted by us only upon receipt of the agreed-upon advance payment or full payment, as specified in the Quotation. Until such payment is received, the Order is not binding on us, and Product availability cannot be guaranteed.
3. Product Information and Availability
3.1. Accuracy: We strive to ensure that all Product descriptions, images, and specifications provided in our catalog are accurate. However, minor variations in color, size, or design may occur due to manufacturing processes or screen display differences. 3.2. Availability: All Products are subject to availability. In the event that a Product you have ordered is unavailable after Quotation, we will notify you promptly and offer suitable alternatives. 3.3. Customization: For customized Products, specific details and timelines will be agreed upon during the ordering process. Any changes to customization requests must be communicated and approved by us in writing.
4. Pricing and Payment
4.1. Pricing: Product prices will be as quoted in your Quotation. All prices are subject to change without prior notice until an Order is confirmed. 4.2. Taxes: All prices quoted are exclusive of applicable taxes (e.g., GST), which will be added to the total amount payable as per prevailing government regulations. Your GSTIN will be collected for invoicing purposes. 4.3. Payment Terms: * An advance payment may be required to confirm your Order, as specified in the Quotation. * Full payment for the Order must be received by us by the due date specified in the Quotation, typically prior to delivery or collection. * We accept payments via UPI and bank transfers. 4.4. Late Payments: Failure to make timely payments may result in delays in delivery, cancellation of the Order, or forfeiture of any advance payments. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month or the maximum rate permitted by law.
5. Delivery and Collection
5.1. Delivery: * Delivery details, including date, time, and location, will be agreed upon in the Quotation. * Delivery charges, if any, will be clearly stated in the Quotation * It is your responsibility to ensure that the delivery location is accessible and that a representative is available to receive and inspect the Products at the agreed time. * Any delays caused by inaccessible locations or unavailability of a representative may incur additional charges or affect delivery timelines. 5.2. Collection: * If you opt for collection, the collection date, time, and location will be specified in the Quotation * Products must be collected within the agreed timeframe. * You are responsible for ensuring adequate transportation and handling for the safe collection of Products. 5.3. Inspection upon Receipt: Upon delivery or collection, you must immediately inspect the Products for any damage, discrepancies, or missing items. Any issues must be reported to our delivery personnel or us immediately, and noted on the delivery receipt if applicable. Failure to do so may affect your right to claim for damages or discrepancies later.
6. Cancellations and Amendments
6.1. Cancellation by Customer: * Cancellations must be requested in writing via WhatsApp message or email. * Cancellation fees may apply depending on the timing of the cancellation* Any advance payments may be partially or fully forfeited based on the cancellation policy. 6.2. Amendments by Customer: * Requests for amendments (e.g., changes in quantity, Product type etc.) must be made in writing and are subject to our approval and Product availability. * Amendments may incur additional charges or affect delivery timelines. 6.3. Cancellation by Company: We reserve the right to cancel an Order if: * Products become unavailable due to unforeseen circumstances. * Payment is not received by the due date. * There are concerns regarding the Customer's ability to fulfill their obligations. * In such cases, we will notify you promptly and provide a full refund of any payments made for the cancelled items.
7. Returns and Refunds
7.1. Damaged or Defective Products: If Products are found to be damaged or defective upon inspection at the time of delivery/collection, and this is immediately reported and acknowledged by us, we will arrange for replacement, repair, or a refund for the affected items. 7.2. Returns Policy: The returns are generally not accepted unless the Product is damaged, defective, or significantly not as described. 7.3. Refund Process: Refunds, if applicable, will be processed within 14 business days of approval and will be issued via the original payment method.
8. Product Use and Customer Responsibilities
8.1. Proper Use: You are responsible for the proper handling, installation, and use of the Products in accordance with any instructions provided by us or generally accepted industry practices. 8.2. Safety: You are responsible for ensuring the safety of all persons using or exposed to the Products at your event. 8.3. Loss or Damage: You are responsible for any loss or damage to the Products while they are in your possession or under your control, beyond normal wear and tear.
9. Limitation of Liability
9.1. To the maximum extent permitted by law, our total liability to you for any claim arising out of or in connection with these Terms or the Products, whether in contract or otherwise shall not exceed the total amount paid by you for the specific Products giving rise to the claim. 9.2. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of the Products or any breach of these Terms.
10. Intellectual Property
All intellectual property rights, including copyrights and trademarks, in our Product designs, catalog content, and website materials, belong to us or our licensors. You may not reproduce, distribute, or use any of our intellectual property without our express written permission.
11. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
12. Governing Law and Dispute Resolution
12.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. 12.2. Dispute Resolution: Any dispute or claim arising out of or in connection with these Terms or the sale of Products shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India. 13. General Provisions
13.1. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 13.2. Entire Agreement: These Terms, together with your Order Confirmation, constitute the entire agreement between you and us regarding the sale of Products and supersede all prior or contemporaneous communications and proposals, whether oral or written. 13.3. Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
